Tomato VIP Membership Automatic Renewal Service Agreement

1. Acceptance and Amendment of Terms of Service 

1.1 This Agreement is an agreement between Tomato VIP Members (hereinafter referred to as "Members") and Manli Technology Limited (hereinafter referred to as "Manli") concerning the use of automatic renewal Commission and deduction services provided by Tomato by Members (hereinafter referred to as "this service"). This Agreement describes the rights and obligations of Manli and Members regarding the use of this service and related aspects. "Membership" refers to the natural person who has completed all the procedures of becoming a member of Tomato and used the membership service provided by Manli under the relevant rules of use of Tomato. This Agreement constitutes a precondition for members to use Manli's services. Tomato has prompted members to read the relevant exemption or limitation clauses in the agreement in bold fonts or other reasonable ways. Both parties confirm that the above clauses do not belong to the clauses of "exemption from their responsibilities, aggravation of their responsibilities, exclusion of their main rights" stipulated in Article 40 of the Contract Law, users and Manli. They all recognize their legitimacy and validity. Members are not entitled to use this service unless they accept the terms and conditions of this agreement. Members'choice of using this service will be deemed to be bound by their consent to accept the terms and conditions of this agreement.

1.2 Manli has the right to amend the Terms of Service at any time. Once the Terms of Service have been changed and amended, Manli will announce on the relevant pages, and the content of the amendment will come into effect and execute 10 days after the announcement date. If the member does not agree with any modification of this agreement, it can cancel the automatic renewal function. If the member continues to use it, it will be deemed that the member has accepted the full scope of this agreement. Revision.

1.3 Members should have the corresponding rights and behavioral abilities when using this service and be able to independently assume legal responsibilities. If they are under 18 years old, they must participate in the guardianship of their parents or other guardians before using this service. Their use of this service is deemed to have been recognized by their parents or other guardians.

2. Service description 

2.1 This service is for members'demand for automatic renewal. On the premise that members have opened this service, to avoid members' failure to renew their fees in time due to negligence or other reasons, members authorize Tomato to delegate payment channels from members'own recharge accounts and third-party payments bound to members' accounts when their validity period is about to expire. Payment account, bank card, communication account (hereinafter referred to as "account") balance withholds the cost of the next accounting cycle, accounting cycle including but not limited to monthly, quarterly, annual (the same below), members can choose according to the accounting cycle displayed on the Tomato platform. This service is implemented on the premise that members have bound their Tomato membership account to the above account and can successfully deduct money from the above account.

2.2 Automated renewal refers specifically to the way Tomato collects members'fees for the next charging cycle through the above account on the premise of 2.1. Members need to ensure that Tomato can successfully deduct money from the above account. Members are responsible for the failure of renewal due to insufficient deductible balance in the above account. Tomato has the right to interrupt/terminate the corresponding membership rights and interests. Service.

2.3 If a member chooses to open an automatic renewal fee, he or she agrees to authorize Tomato to issue a deduction instruction to the account, and that the account can deduct the cost of the next accounting cycle from the account without verifying the password of the member account, the payment password, the SMS check code and other information according to the deduction instruction issued by Tomato. Unless the member voluntarily and explicitly cancels the automatic renewal, the member's automatic deduction Commission for Tomato is irrevocable. Except as otherwise stipulated by laws and regulations, Tomato does not refund the fees paid by its members in any way.

2.4 Members shall be bound by the terms of Tomato User Use Agreement, Tomato Privacy Policy, Tomato VIP Membership Service Agreement and related sub-agreements, page descriptions or standardized processes when enjoying this service. When members use this service, their use behavior is regarded as their service terms and conditions of this service as well as Tomato VIP Membership Service Agreement. The consent to various publications issued by this service. This Agreement shall prevail in case of conflict with Tomato User Use Agreement and Tomato VIP Membership Service Agreement.

2.5 This service provided by Tomato to Members is limited to Members'use on Tomato platform. Any act of separating this service provided by Tomato from Tomato platform by malicious cracking or other illegal means does not belong to this service as stipulated in this Agreement. All legal consequences arising therefrom shall be the responsibility of the perpetrator, and Tomato shall pursue the legal liability of the perpetrator in accordance with the law.

3. Rights and obligations of both parties 

3.1 Tomato is responsible for providing members with specific inquiries about automatic renewal fees, but not for printing related invoices and/or forwarding them.

3.2 Tomato will send an automatic renewal reminder to its members by sending short messages or other means before the expiration date of the membership's validity. If the member deducts the cost of the next charging cycle through the above account, the deduction will be recorded in the membership's payment record on the deduction day, and the membership's validity period will be extended accordingly. Once the deduction is successful, Tomato has the right to collect the fee immediately without providing a refund service.

3.3 If there are any mistakes in the deduction process, Tomato and its members should cooperate closely to find out the causes and bear the losses caused by their own fault; if losses are caused by unequal faults between the two parties, the two parties shall bear the corresponding liability according to the degree of fault; if losses are caused by common faults of the two parties but cannot distinguish their respective faults, the two parties shall share the responsibility.

3.4 Tomato may alter or modify the relevant service contents, rules and provisions of this Agreement according to its business development or technology upgrade. Tomato will inform users of relevant changes or modifications through publicity on relevant pages of Tomato or other appropriate locations, but it is not obliged to make separate notifications. The above announcement is deemed to have been delivered to the user from the date of the "Tomato" transmission. If multiple notification modes coexist, the service time shall be the earliest time of the above-mentioned modes. If members do not agree to the amendment of this agreement, they may cancel the service they have obtained and stop using it. If members continue to use the services provided by Tomato, they will be deemed to have accepted all the amendments to this agreement.

3.5 This service is cancelled by the member's own choice. If the member chooses not to cancel, it will be deemed that the member agrees that Tomato has the right to continue to make irregular debit attempts in accordance with certain rules. Once the debit is successful, Tomato will provide the member's service in the next billing cycle.

3.6 If the price of Tomato service is adjusted before automatic renewal, it should be based on the current effective price announced on Tomato platform.

3.7 Tomato does not charge any extra fee for opening this service to its members, but Tomato has the right to decide whether to charge for the service itself or adjust the automatic renewal cycle and fee according to business needs or market changes, and to publicize it to its members on relevant pages.

3.8 Members renew their fees within the validity period of the membership, and the validity period will be extended on the basis of the validity period of the original service.

3.9 Members understand and agree that the deduction rights of Tomato authorized by Members will be regarded as the recharge of Members themselves. Members will not claim any rights and hold any liabilities to Tomato and its affiliated companies if any losses are caused to members themselves.

4. Term of validity and termination of the agreement 

4.1 This Agreement shall take effect after the member chooses to accept or use the service until the member terminates the service/cancels the membership unless otherwise announced in Tomato.

4.2 Members have the right to terminate this service at any time in the account settings. After terminating this service, Tomato will stop providing this service to members.

4.3 The order that members have entrusted Tomato with automatic fee renewal and deduction before choosing to terminate this service is still valid, and Tomato will not refund the fees deducted based on the order, and the members will bear the relevant liabilities and losses.

4.4 Tomato has the right to suspend or terminate this service for reasons of business adjustment and price change. Once this happens, Tomato notifies its members by announcement.

5. Liability for breach of contract 

If a party breaches the contract, the party who keeps the contract has the right to obtain compensation or compensation through the settlement of breach of contract agreed by both parties.

6. Dispute Resolution and Law Application 

6.1 Manli and Members shall settle disputes arising from the implementation of this Agreement through friendly consultation. If they cannot be settled through consultation, either party shall have the right to submit the disputes to the People's Court of Xihu District of Hangzhou for litigation. The laws of the People's Republic of China shall apply to the interpretation, validity and enforcement of this Agreement.

Manli will respond to members'comments and suggestions as soon as possible.

7.2 The title of this Agreement is for convenience and reading only and does not affect the meaning or interpretation of any provision in the text.

7.3 This Agreement shall enter into force 10 days after the update time of the home page.
